1. Acceptance of Terms
Welcome to iFleetify Technologies LLP. These Terms of Service ("Terms") govern your access to and use of our websites, products, and services including but not limited to iFleetify (Fleet Management System) and iLogitix (Multi-Tenant Transport Management System), collectively referred to as "Services".
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Services & Disclaimer
iFleetify Technologies LLP provides software solutions for logistics and transportation management:
- iFleetify: A comprehensive fleet management system offering real-time vehicle tracking, driver management, trip planning, maintenance scheduling, and analytics.
- iLogitix: A modern multi-tenant Transport Management System (TMS) that enables booking management, LR lifecycle tracking, delivery confirmation with POD, billing, and multi-carrier integrations.
TECHNOLOGY PLATFORM ONLY: iFleetify Technologies LLP is a technology provider only. We do not provide transportation, logistics, courier, or freight services. We are not a carrier, broker, or agent for any shipments. The accuracy of data entered into the system (e.g., weights, dimensions, LR details) is the sole responsibility of the User.
We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice to users.
3. User Accounts & Security
3.1 Account Registration
To access certain features of our Services, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password and API keys secure and confidential
- Notify us immediately of any unauthorized access to your account
- Accept 100% responsibility for all activities that occur under your account
3.2 Prohibited Conduct
You strictly agree not to: (a) reverse engineer or attempt to builds a competing product; (b) use automated systems to scrape our platform; (c) bypass API rate limits; or (d) share account credentials with third parties for unauthorized usage profiling.
4. Acceptable Use Policy
You agree not to use our Services to violate any applicable laws, transmit malicious code, or interfere with the integrity of the Services.
5. Intellectual Property Rights
The Services, architecture, and proprietary algorithms are owned by iFleetify Technologies LLP. You are granted a limited, revocable license for internal business use only. All trademarks and logos remain our exclusive property.
6. Payment Terms
Fees are non-refundable. Non-payment within the due date may result in immediate suspension of API access and Dashboard access.
7. Data Protection and Privacy
Your privacy is governed by our Privacy Policy. As a User, you warrant that you have obtained all necessary consents from drivers and consignees before processing their data through our platform.
8. Limitation of Liability
8.1 Disclaimer: THE SERVICES ARE PROVIDED "AS IS". WE DO NOT WARRANT UNINTERRUPTED UPTIME OR ERROR-FREE OPERATION.
8.2 Third-Party Failures: iFleetify Technologies LLP shall NOT be liable for outages, delays, or data breaches caused by third-party integrations, including but not limited to WhatsApp Business API providers, SMS gateways, Payment Gateways (e.g., Razorpay, Cashfree), or Cloud Infrastructure providers (e.g., AWS, Azure).
8.3 Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR INR 10,000, WHICHEVER IS HIGHER.
9. Indemnification
You agree to indemnify us against any claims resulting from your violation of these Terms or your mishandling of end-user data.
10. Termination
We may terminate access for Terms violations or non-payment. Access to data is cut off immediately upon termination. We retain no obligation to provide data exports after a 30-day post-termination window.
11. Governing Law and Dispute Resolution
11.1 Governing Law
Governed by the laws of India, with exclusive jurisdiction in Ahmedabad, Gujarat.
11.2 Multi-Step Dispute Resolution
- Informal Negotiation: Parties must first attempt to resolve disputes informally for a minimum period of 30 days.
- Mediation: If unresolved, parties shall undergo 45 days of mandatory mediation.
- Arbitration: Final resolution shall be through binding arbitration by a single arbitrator in Ahmedabad.
11.3 Jurisdiction
The courts of Ahmedabad, Gujarat, India shall have exclusive jurisdiction over any matters not subject to arbitration.
